Payment Terms And Conditions

These Payment Terms and Conditions ("Terms") govern the use of payment methods offered by Wholesale Dito Store, operated by Clickerwayne Zelle Solutions Inc ("Company"). By utilizing the payment methods described herein, you ("Customer") agree to comply with and be bound by these Terms.

1. Payment Methods and Terms

1.1 Net 7 Payment Method

  • Payment for goods or services is due within seven (7) calendar days from the delivery date.
  • A Post-Dated Check ("PDC") is required upon delivery as a payment guarantee.

1.2 Net 15 Payment Method

  • Payment for goods or services is due within fifteen (15) calendar days from the delivery date.
  • A Post-Dated Check ("PDC") is required upon delivery as a payment guarantee.

1.3 Zero-Interest Trade Credit Limit

  • Payment for goods or services is due within thirty (30) calendar days from the delivery date.
  • A Post-Dated Check ("PDC") is required upon delivery as a payment guarantee.

2. PDC Requirements

  • All Post-Dated Checks ("PDCs") must be made payable to Clickerwayne Zelle Solutions Inc, the owner and operator of the Wholesale Dito Store.

3. Bounced PDC Penalty

  • In the event a PDC is dishonored or bounced due to insufficient funds or any other reason ("Bounced PDC"), the Customer will incur a penalty fee equivalent to One Percent (1%) per day of the face value of the Bounced PDC until the outstanding amount is fully settled.

4. Settlement Obligations

  • Upon the occurrence of a Bounced PDC, the Customer must settle the total outstanding amount, including:
    • The face value of the Bounced PDC.
    • Any accrued penalty fees and interest.
  • Payment must be made immediately or within a maximum of seven (7) calendar days from the date of the Bounced PDC.

5. Legal Action for Non-Compliance

  • Failure to settle the outstanding amount within the stipulated timeframe may result in the Company initiating appropriate legal action in accordance with Batas Pambansa Bilang 22 ("BP 22"), without further notice to the Customer.

6. Account Blocking

  • Non-compliance with the payment terms, including Bounced PDCs or outstanding balances, may result in the blocking or suspension of the Customer's account.

7. Severability

  • If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

8. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
  • Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bi単an City, Laguna, Philippines.

9. Entire Agreement

  • These Terms constitute the entire agreement between the parties concerning the subject matter and supersede all prior or contemporaneous agreements, whether written or oral.

10. Changes to Terms

  • The Company reserves the right to amend these Terms at its sole discretion. Customers are encouraged to review the Terms periodically. Continued use of any payment method constitutes acceptance of the revised Terms.
